Terms of Service

These Terms of Service govern your access to and use of TSFDemand.com and related services operated by TSF Inc. By accessing our platform or engaging our services, you agree to these Terms.
1. Eligibility
You must be at least 18 years of age and authorized to enter into agreements on behalf of your organization to use our services.
2. Description of Services
TSF Demand provides automated demand planning and decision intelligence services. Services include API-based connection to your existing POS or ERP data systems, automated generation of SKU-level temporal structural forecasts, real-time signal monitoring and alerting, weekly actionable reports, and access to TSF Demand dashboards. Service scope and delivery cadence are specified in your service agreement.
3. Client Data
By connecting your data systems to TSF Demand via API, you grant TSF Inc. a limited license to access, ingest, and process your time series data solely for the purpose of delivering your contracted services. You retain full ownership of your business data at all times. TSF Inc. will not use your data for any purpose other than delivering your service.
Client data is stored in SOC 2 Type II certified environments (Modal and Neon). No client data is stored on TSF-managed local devices. You may request deletion of your data at any time upon termination of services.
4. Data Processing Agreement
For clients whose data may be subject to GDPR, CCPA, or other applicable data protection regulations, TSF Inc. will execute a Data Processing Agreement (DPA) upon request. Contact us at tsfdemand.com/contact to request a DPA.
5. Intellectual Property
All TSF Demand methodology, software, models, dashboards, reports, and deliverables — including the Temporal Structural Forecasting methodology, the Model of Temporal Inertia, and the proprietary library of irregular seasonal models — are the exclusive property of TSF Inc. and protected by applicable intellectual property law.
Your service agreement grants you a limited, non-exclusive, non-transferable license to use TSF Demand outputs for your internal business operations. You may not redistribute, resell, sublicense, or share TSF Demand outputs with any third party; use TSF Demand outputs to build or operate a competing product or service; or reverse-engineer or attempt to derive the underlying methodology.
White-label and partner arrangements are governed by separate written agreements.
6. Payment and Billing
Fees are billed according to your service agreement. Payment is processed through Stripe. You are responsible for keeping payment information current. If payment fails, TSF Inc. may suspend services until payment is resolved.
7. Cancellation and Termination
Either party may terminate services in accordance with the terms of your service agreement. Upon termination, your access to TSF Demand services and dashboards ceases. You may request deletion of your data at any time following termination.
8. Disclaimer of Warranties
TSF Demand services are provided on an "as is" and "as available" basis. TSF Inc. makes no warranty that forecasts will be error-free or that signals will result in specific business outcomes. Forecasts and signals are decision-support tools and do not constitute operational guarantees.
9. Limitation of Liability
To the fullest extent permitted by law, TSF Inc. shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services. Our total aggregate liability shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim.
10. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of laws provisions.
11. Modifications
We reserve the right to modify these Terms at any time. Material changes will be posted with an updated effective date. Continued use of services constitutes acceptance of revised Terms.
